Emcure’s Gennova to Sell mRNA Business to Immunoscript for ₹139.5 Cr.

Key Highlights: 

  • Emcure announced that its subsidiary, Gennova Biopharmaceuticals, has signed a Business Transfer Agreement (BTA) to divest its mRNA business to Immunoscript Life Science through a slump sale. The transaction, valued at ₹139.5 Cr. in cash, is expected to close by July 17, 2026, subject to customary conditions and approvals. 
  • The transferred mRNA business generated ₹647.1 million in revenue during FY2025-26, contributing 0.71% of Emcure’s consolidated revenue and 2.68% of its consolidated net worth. Immunoscript, incorporated in April 2026 and promoted by Dr. Sanjay Singh, will acquire the business as a going concern. The transaction is not a related-party deal, and there will be no change in Emcure’s shareholding structure. 
  • The divestment aligns with Gennova’s strategy to streamline operations and sharpen its focus on biotechnology R&D, manufacturing, biosimilars, and adjacent therapeutic platforms. Meanwhile, Immunoscript plans to leverage the acquired mRNA capabilities to advance next-generation vaccines and precision immunology therapeutics. 

Implications: 

The slump sale of Gennova’s small mRNA unit to Immunoscript for ₹139.5 crore effectively exits Emcure from a non-core, low-contribution business (0.71% of revenue) while unlocking cash and management bandwidth to deepen its higher-scale biotech and biosimilars focus, and simultaneously seeds a new, specialist player aiming to build India-focused mRNA vaccines and precision immunology assets on the acquired platform.
