RPG Life Sciences Transfers API Business to Subsidiary with Rs 700 Crore Investment

Key Highlights:

  • RPG Life Sciences is sharpening its API focus by transferring its API business to wholly owned RPG Active Pharma on a slump sale basis. The move will bring dedicated capital, management focus and greater strategic flexibility.
  • To scale the new API platform, InvAscent will initially invest up to Rs. 243 crore, with total phased investment of up to Rs. 700 crore by RPG Life Sciences and InvAscent. The funds will support capacity, portfolio and growth initiatives.
  • Building on this strategy, RPG Active Pharma will acquire 100% of Visakhapatnam-based Actis Generics, expanding its manufacturing footprint and API portfolio. The transactions remain subject to regulatory approvals and customary conditions.

Implications:
The restructuring positions RPG Life Sciences to build a more focused and scalable API platform by separating the business from its formulations operations and backing it with up to ₹700 crore of phased investment. The initial ₹243 crore from InvAscent, alongside the proposed acquisition of Actis Generics, could accelerate capacity expansion, broaden the API portfolio, and strengthen manufacturing capabilities, while giving RPG greater strategic flexibility to pursue both organic and inorganic growth. The success of the platform will likely depend on execution of the acquisition, deployment of capital, and its ability to build a differentiated API portfolio in an increasingly competitive market.
